1. Acceptance of Terms
By accessing or using Media on Demand ("the Service", "we", "our", or "us") at https://mediaondemand.cloud, you ("you" or "User") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our DMCA & Copyright Policy, all of which are incorporated herein by reference.
If you do not agree to these Terms, do not access or use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Eligibility
You must be at least 13 years of age (or the applicable minimum digital age in your jurisdiction) to use the Service. By creating an account you represent and warrant that:
- You meet the minimum age requirement.
- You are not prohibited from using the Service under applicable law.
- You have not previously been suspended or removed from the Service.
Users under 18 may only use the Service with the involvement and consent of a parent or legal guardian.
3. Accounts & Registration
3.1 Account creation
To access creator features you must register for an account by providing accurate and complete information. You agree to keep your registration information up to date. Each person may hold only one account unless we expressly authorise otherwise.
3.2 Account security
You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at legal@mediaondemand.cloud if you suspect any unauthorised use of your account. We are not liable for any loss resulting from unauthorised use of your credentials.
3.3 Username & identity
Usernames must not impersonate another person or entity, violate any trademark, or be offensive. We reserve the right to reclaim or require you to change a username that violates these rules.
4. Subscriptions & Payments
4.1 Plans
Media on Demand offers multiple membership tiers (Basic, Pro, Business, Enterprise) with varying storage limits, features, and pricing. Current plan details are available on our pricing page and in your account dashboard.
4.2 Billing
Paid subscriptions are billed in advance on a recurring basis through our billing provider (HiredHosting / WHMCS). By providing payment information you authorise us to charge the applicable fees for your selected plan. All fees are in USD unless otherwise stated and are exclusive of applicable taxes.
4.3 Cancellation & refunds
You may cancel your subscription at any time via your account settings or by contacting support. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time except where required by applicable law. Free (Basic) accounts may be closed at any time at no charge.
4.4 Plan changes
Upgrades take effect immediately and are prorated. Downgrades take effect at the next renewal date. If a downgrade reduces your storage below your current usage, you must reduce your stored content before the downgrade takes effect or we may restrict uploads.
4.5 Price changes
We may change subscription prices upon at least 14 days' notice. Continued use of a paid plan after a price change constitutes acceptance of the new price.
5. User Content & Licence
5.1 Ownership
You retain full ownership of all videos, thumbnails, channel art, and other content you upload to the Service ("User Content"). These Terms do not transfer any intellectual property rights from you to us.
5.2 Licence granted to us
By uploading User Content you grant Media on Demand a worldwide, non-exclusive, royalty-free, sublicensable licence to:
- Host, store, transcode, and serve the content to viewers.
- Display thumbnails and metadata in search results, channel pages, and promotional materials for the Service.
- Generate automatic thumbnails and create HLS stream segments to enable playback.
This licence exists solely to operate and promote the Service and terminates when you remove the content or close your account (subject to reasonable cache expiry and backup retention periods).
5.3 Your representations
By uploading User Content you represent and warrant that:
- You own or have the necessary rights and permissions to upload and share the content.
- The content does not infringe any third-party intellectual property, privacy, or publicity rights.
- The content complies with all applicable laws and these Terms.
5.4 Public visibility
Videos set to "Public" visibility are accessible to any internet user. Videos set to "Unlisted" are accessible only to those with the direct link. Videos set to "Private" are accessible only to your account. Choose visibility settings carefully; once a public video is indexed by search engines, we cannot control cached copies.
6. Prohibited Content & Conduct
This platform does not permit sexually explicit or pornographic material of any kind. Violations result in immediate permanent account termination with no appeal.
You agree not to upload, post, transmit, or otherwise make available any content or engage in any conduct that:
- Is illegal, or facilitates, promotes, or glorifies illegal activity.
- Is sexually explicit, pornographic, or intended to sexually arouse — this platform is strictly general-audience; adult content of any kind (nudity, simulated sex acts, explicit imagery) is absolutely prohibited and will result in immediate permanent account termination.
- Is sexually explicit involving minors (CSAM) — this is an absolute prohibition and will be reported to NCMEC and relevant authorities.
- Is hateful, discriminatory, or harassing based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
- Depicts graphic violence, self-harm, or encourages dangerous activities.
- Infringes any third-party copyright, trademark, patent, trade secret, or other intellectual property.
- Contains malware, viruses, or other malicious code.
- Is spam, unsolicited advertising, or pyramid schemes.
- Impersonates any person or entity or misrepresents your affiliation.
- Interferes with or disrupts the Service or its infrastructure, including denial-of-service attacks.
- Attempts to gain unauthorised access to any part of the Service or other users' accounts.
- Scrapes or harvests data from the Service without our express written consent.
- Violates any applicable local, national, or international law or regulation.
We reserve the right to remove content and suspend accounts that violate these rules without prior notice.
7. Copyright & DMCA
We respect intellectual property rights and expect users to do the same. If you believe content on our platform infringes your copyright, please submit a takedown notice in accordance with our DMCA & Copyright Policy.
Users who repeatedly infringe third-party copyrights will have their accounts terminated under our repeat-infringer policy, in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512).
8. Advertising Features
Eligible creators may display third-party advertising on their channels using their own VAST ad tags. All advertisements must comply with these Terms and applicable advertising standards. We reserve the right to remove content that is misleading, offensive, or in violation of applicable law. Advertising arrangements are solely between the creator and their chosen ad network; we are a facilitating platform and are not a party to those commercial arrangements.
9. Platform Rights & Availability
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will endeavour to provide advance notice of significant changes. We do not guarantee uninterrupted, error-free access to the Service at all times.
We may remove, edit, or restrict access to any User Content at our sole discretion if we believe it violates these Terms or applicable law, or if it is reported and found to be in breach of our policies.
We reserve the right to run advertisements on free-tier accounts. Paid tier subscribers may receive reduced or no platform-inserted advertisements as specified in their plan details.
10. Privacy
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED ACCESS. We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or its servers are free of viruses or harmful components.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEDIA ON DEMAND, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Service, even if advised of the possibility of such damages. Our total aggregate liability to you shall not exceed the amounts paid by you to us in the twelve months preceding the claim, or USD $100 if no such payments have been made.
13. Indemnification
You agree to defend, indemnify, and hold harmless Media on Demand and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.
14. Termination
You may terminate your account at any time by deleting it from your account settings or contacting us. We may suspend or terminate your access to the Service immediately, without prior notice, if we determine in our sole discretion that you have violated these Terms or applicable law, or that your actions could cause harm to other users or the platform.
Upon termination, your right to use the Service ceases immediately. We will delete your personal data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimer, limitation of liability, indemnification, and governing law) shall survive.
15. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding individual arbitration under the JAMS Arbitration Rules, conducted in English. You waive any right to participate in class-action proceedings.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.
16. Changes to These Terms
We may revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered users by email at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must discontinue using the Service.
